These Terms of Service (“Terms”) govern your use of the website, workshops, and services of BrusselsSprouts Inc., doing business as UBI Studio (“we,” “us,” or “our”). By using our website or enrolling in our programs, you agree to these Terms.

1. Services Description

We provide live cohort vibecoding workshops, optional 1-on-1 instruction, course materials, recordings, and community access designed to help non-technical founders and beginners build and ship AI-powered web applications using modern AI coding tools.

Our workshops are educational in nature. No specific career, business, income, fundraising, customer, or revenue outcome is guaranteed. Participation requires you to bring your own ideas, time, and effort. Results depend on factors outside our control, including your prior experience, the quality of your idea, the time you invest, and market conditions.

2. Text Messaging Program Terms

2.1 Program Description

If you opt in, BrusselsSprouts Inc. (dba UBI Studio) may send you the following types of messages.

Non-marketing / transactional messages:

  • Workshop application confirmations
  • Schedule and reminder messages
  • Reschedule notifications
  • Post-call follow-ups
  • Workshop logistics and account information

Marketing / promotional messages:

  • Upcoming cohort announcements
  • Special offers
  • Educational content about AI app building
  • Re-engagement promotions

2.2 Message Frequency

Message frequency varies based on your interactions with us and your active workshop enrollment.

2.3 Consent

By checking the applicable consent checkbox on our contact form, you give your express written consent to receive the corresponding type of text messages from BrusselsSprouts Inc. (dba UBI Studio). Consent is not a condition of purchase or enrollment. The consent checkboxes are optional and are not pre-selected; you must affirmatively check them to opt in.

2.3.1 Age Restriction

You must be at least 18 years of age to opt in to receive text messages from BrusselsSprouts Inc. (dba UBI Studio). By opting in, you represent and warrant that you are 18 years of age or older.

2.4 Opt-Out

Text STOP to any message to unsubscribe. A final confirmation message will be sent. Text START to re-enroll.

3. Website Use

You may use our website for lawful purposes only. You agree not to interfere with the website's operation, attempt unauthorized access, misuse our content, or use the site in a way that violates applicable law.

4. Intellectual Property

Apps and products you build during our workshops remain your intellectual property. UBI Studio retains all rights to its curriculum, frameworks, workshop materials, recordings, templates, and community content. You may not redistribute, resell, or publicly publish our curriculum or recordings without prior written permission.

5. Education / Outcome Disclaimer

Outcomes from our workshops vary by individual. We do not guarantee any specific career, business, income, fundraising, or customer result. Your results depend on your own effort, experience, idea quality, market conditions, and other factors outside our control.

AI-generated code requires student review. You are responsible for reviewing, testing, securing, and maintaining any code or application you build using AI tooling, including for any production or commercial use. We are not responsible for issues arising from AI-generated output deployed without appropriate review.

6. Disclaimer of Warranties

Our website, workshops, and materials are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

7. Limitation of Liability

To the maximum extent permitted by law, BrusselsSprouts Inc., its officers, employees, instructors, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the website, workshops, or materials. Our total liability for any claim shall not exceed the amount you paid us for the workshop giving rise to the claim.

8. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Venue for any dispute lies exclusively in the state or federal courts located in San Francisco, California.

9. Changes to Terms

We may update these Terms from time to time. The “Effective Date” above indicates when the Terms were last updated. Continued use of the website or services after changes constitutes acceptance of the updated Terms.
